A new permanent opportunity to join a leading Financial Services Organisation within the Group Governance team as the Company Secretary.

As a subsidiary company secretary you will provide high quality secretariat and governance services, engaging with internal customers and our stakeholders as a trusted advisor.

The Role
  • Occupy the position of Senior Company Secretary of the Group’s Entities from time to time;.
  • Engage with customers and stakeholders as a trusted advisor; stay current with governance trends and governance regulation; critically analyse change, assess impact and appraise boards.
  • Support Secretariat team goals through active and constructive team participation, including willingly sharing your expertise with others and clarifying tasks assigned to you.
  • Develop and maintain a thorough knowledge and understanding of the Bank’s subsidiaries, Bank corporate governance standards, relevant regulations and legislation pertaining to your portfolio of companies.
  • People management responsibilities including performance management, development, succession planning and recruitment (as required from time to time).
  • Assist in managing the statutory obligations of the companies and their Directors under the Corporations Act and other relevant legislation, including maintaining company records and advising regulators of changes to company details.
  • Assist the smooth running of company Board/Committee meetings and decision-making 
  • Facilitate ongoing Director education and development, Board evaluation and skills analysis;Ensuring effective information flows to and within Board, to and from Committees and between Directors and management. 
  • Facilitate execution of documents (Trust Deeds, Agreements, etc) on behalf of companies.
  • Identify and recommend process improvements including issues that affect more than one team.
The ideal candidate:
  • Thorough knowledge, understanding and application of company secretarial best practice, relevant legislation and corporate governance practices with a minimum of 5 years relevant experience.
  • Exposure to complex company structures, ideally in the financial services industry.
  • Experience in team leadership (including management experience) and a demonstrated ability to work as part of a team.
