Job Purpose and Scope
  • The primary purpose of this position is to work with the Group Company Secretary to deliver a first-class governance service and to coordinate the Company Secretariat activities to significantly improve the quality and efficiency of carrying out these services
  • The scope includes all Australia businesses including subsidiaries. The business is undertaking a number of significant governance transformation activities. Accordingly, this role requires a person who can conduct both the day to day company secretarial tasks including the efficient operation of the board, its committees and management committees as well as project work to support the ongoing development of the governance function. It requires a high level of organisation and efficiency.
Specific Responsibilities:
  • Responsible for ensuring high quality governance services to Australia subsidiaries and related entities;
  • Managing the corporate secretarial compliance of a portfolio of unlisted public and private companies, both proactively and reactively, including completing forms, minutes and lodging documents/notifications with ASIC and other regulators;
  • Working closely with the Company Secretary in the provision of advice to the directors and officers in relation to the requirements of the relevant company’s constitution, local laws and prudential standards;
  • Educating and training the business on best practice reporting;
  • Ensuring the efficient running of board meetings and relevant board committees, including preparing agendas, compiling board papers, and timely delivery of quality board and committee papers prior to each meeting;
  • Preparing draft minutes and arranging for signed minutes of all relevant meetings within required time frames and ensuring matters arising are completed;
  • Managing relevant regulatory obligations including ensuring all statutory registers are maintained for all entities in the Australia group to a high standard, annual solvency resolutions are passed for all relevant companies, and ASIC notifications for all company and officeholder changes are lodged in a timely manner;
  • Assisting with the identification and management of conflicts of interest;
  • At least 2 years Assistant Company Secretarial experience within Financial Services Industry 
  • Strong Governance background with a focus on ASIC
  • Legal qualification and/ or Governance Course Qualification
  • Conscientious with a strong attention to detail on all matters
  • Outstanding verbal and written communication skills
