ASX Listed Organisation is looking for a talented and ambitious mid-level corporate lawyer

  • In-House Legal Counsel (4 - 9 Years PQE)

As a talented and ambitious mid-level corporate lawyer looking to progress their in-house legal and company secretarial career, you will be working with a supportive, experienced General Counsel and Company Secretary and in-house legal team and also gain great exposure to working with a highly reputable Board.

You will be handling a variety of work including corporate governance and corporate advisory matters, assisting with board meeting preparation, compliance/regulatory advice and liaison, corporate policies, insurance, share registers etc. The role will also involve broader matters such as mergers and acquisitions and technology.
  • Draft  contracts, leases, loan agreements, securities and other commercial arrangements to safeguard the Group’s interest, in conjunction with external legal advisors where necessary. 
  • Assistance with mergers, acquisitions & disposals (role may vary depending on size of acquisition).
  • Ensure contractual obligations are entered into appropriately, consistent with relevant delegations and monitor those obligations and the company’s adherence to them.
  • Work with the Company Secretary to provide company secretariat and governance support to the Board of Directors 
  • Administration and preparation of Board and Committee meetings (including assisting the Company Secretary to prepare agendas, invites, minutes and follow up action items) and take lead role in managing Board technology.
The ideal candidate:
  • 4+ years’ experience in corporate law (including Corporate Advisory and/or Company Secretarial) gained at a major law firm and in-house or on secondment.
  • Experience within the Financial Services sector beneficial
  • Strong understanding of all statutory, regulatory and compliance practices, principles and corporate governance requirements affecting the Group including Corporations Act and ASX Listing rules.
  • Ability to demonstrate initiative –proactive, generate ideas for improvement, solve problems and take advantage of opportunities without being asked.
  • Governance or secretariat experience desirable but not mandatory.
